Article V: Officers
Officers of the CMGA shall be President, Vice President, Secretary and Treasurer.
(a) Officers shall be elected by ballot at the November membership meeting for a term of one year. A simple majority of those present and voting is necessary for election.
(b) All terms of office shall commence on January 1, at the beginning of the next fiscal year.
(c) No one shall serve more than two consecutive terms in the same office.
Section 1: Duties of the Officers
(a) President: The president shall preside at all meetings of the association and the executive board and shall perform such other duties as may be prescribed in these by-laws or assigned to him/her by the association or the executive board, and shall coordinate the work of the officers and committees in order that the purpose of the association may be served.
(b) Vice President: The vice president shall perform the duties of the president in the event of his/her absence and such other duties as shall be assigned by the president.
(c) Secretary: The secretary shall record the minutes of all meetings of the association and of the executive board and shall perform other duties as may be delegated to him/her.
(d) Treasurer: The treasurer shall have custody of all funds of the association; shall keep a full and accurate account of receipts and expenditures; and shall make disbursements in accordance with the directions of the executive board and the association’s membership. The treasurer shall present a financial statement at each executive board meeting and shall make a full report to the membership at both meetings.
Section 2: Any vacancies that may occur among the officers will be filled by the Executive Board, subject to approval by the voting membership at the next annual meeting.
Article VI: Executive Board
The executive board shall consist of the officers of the association, the Past President, and a delegate from each District Committee, the Chairpersons from the Program Committee, the Membership Committee and the Publication/Public Relations Committee, and a representative from the State.
Section 1: The duties of the executive board shall be:
(a) To transact necessary day-to-day business in the intervals between association membership meetings.
(b) To create committees to plan and prepare for various programs and activities, and to approve such plans and preparations.
(c) To present a report of its activities and plans at the association’s membership meetings.
(d) To approve payment of all bills.
Section 2: The executive board shall meet as often as necessary to carry out the association’s business, not less than four times a year.
Section 3: A majority of members present shall constitute a quorum for the transaction of business. Action shall be a majority vote of those present and voting.
